PINKTEARS FEDERATION HAS BOARD OF DIRECTORS CONSISTING OF INDIVIDUALS AS DIRECTORS.

THE BOARD OF DIRECTORS OF PINKTEARS FEDERATION SHALL HAVE ATLEAST

• ONE WOMEN DIRECTOR

• ONE DIRECTOR WHO STAYED IN INDIA FOR 182 DAYS

• MINIMUM OF TWO DIRECTORS.

• To promote the objectives of PINKTEARS FEDERATION.

• Act in good faith for the best interest of PINKTEARS FEDERATION, its employees, its volunteers, its members, the community, the society and the environment.

• Exercise their duties with sincerity, reasonable care, skill, due diligence and independent judgement.

• Not involve in any situation whether directly or indirectly, which may conflicts with their interests and interests of PINKTEARS FEDERATION.

• Not attempt to gain any undue advantage either for themselves or their relatives, partners, associates.

• Not to discriminate among the employees, volunteers, members of PINKTEARS FEDERATION on the grounds of religion, race, caste, sex or gender and place of birth. 

• First Directors of PINKTEARS FEDERATION were appointed at its incorporation.

• Every Director of PINKTEARS FEDERATION shall be appointed at Annual General Meeting of PINKTEARS FEDERATION by Board of Directors.

• Every person must give their consent to hold the office as the Director of PINKTEAR FEDERATION

• PINKTEARS FEDERATION shall not appoint any person as Director who does not have DIRECTOR IDENTIFICATION NUMBER (DIN).

• PINKTEARS FEDERATION shall not appoint any person who is undischarged insolvent or their insolvency application is pending.

• PINKTEARS FEDERATION shall not appoint any person who is convicted by a Court for any offence, moral turpitude and sentenced for 7 years or more.

• PINKTEARS FEDERATION shall not appoint any person who is disqualified for appointment as Director by an order from Court or Tribunal.

• PINKTEARS FEDERATION shall not appoint any person who is affiliated with any political or religious organization.

• PINKTEARS FEDERATION shall terminate Directors who are declared of unsound mind by a competent court

• PINKTEARS FEDERATION shall terminate Directors who are undischarged insolvent or they have applied for insolvency

• PINKTEARS FEDERATION shall terminate Directors who are convicted by a court of any offence, whether involving moral turpitude or otherwise

• PINKTEARS FEDERATION shall terminate Directors who are sentenced to imprisonment for more than six months

• PINKTEARS FEDERATION shall terminate Directors who are disqualified by an order for appointment as a Director from a court or Tribunal

• PINKTEARS FEDERATION shall terminate Directors who absent themself from all the meetings of the Board of Directors held during a period of twelve months with or without seeking leave of absence of the Board

• PINKTEARS FEDERATION may terminate Directors by resolution before the expiry of the period of their office after giving them a reasonable opportunity of being heard

• Directors may resign from their office by giving a notice in writing to the PINKTEARS FEDERATION.

• SHAREHOLDERS OF PINKTEARS FEDERATION shall not receive directly or indirectly any Dividends, Profits, Bonuses and Otherwise by way of profit. 

• SHAREHOLDERS OF PINKTEARS FEDERATION shall not receive any benefits in Money or Money's worth. 

• SHAREHOLDERS OF PINKTEARS FEDERATION shall have limited liability by shares. 

• SHAREHOLDERS OF PINKTEARS FEDERATION shall have voting rights on every resolution of the PINKKTEARS FEDERATION.

• SHAREHOLDERS OF PINKTEARS FEDERATION shall not receive any property whatsoever remains after the satisfaction of all debts and liabilities upon winding up or dissolution of the PINKTEARS FEDERATION.
